Revenue growth was real, but the quarter says more about mix and earnings quality than top-line momentum. Core operating profit was flat as Trade & Specialty offset a softer Building Performance business, while equity income, tariff refunds and an earnout gain lifted GAAP results 8-K11121315.

GAAP earnings improved faster than the core operating business

Revenue rose 13.2% to $343.9 million in the quarter, with 6% from recent acquisitions and 7% from organic growth 8-K. Operating income increased 40.9% to $13.0 million, but adjusted operating income was relatively flat at $13.7 million versus $13.9 million a year earlier, which makes the headline improvement look more dependent on items outside the underlying operating run rate 8-K.

Net income increased 21.1% to $42.6 million and diluted EPS rose to $0.87 from $0.70 8-K. But pre-tax earnings were also helped by a $4.0 million pre-tax gain tied to an earnout arrangement from the 2021 sale of the former oil and gas products business, alongside a $4.0 million net benefit from IEEPA tariff refunds recognized in cost of goods sold and SG&A 9.

Building Performance grew on acquisitions while underlying demand softened

Building Performance Solutions sales increased 16.4% to $215.1 million, but $19.2 million of that came from acquisitions 8-K. Excluding acquisitions, growth came from strength in the water business, while cooling and construction saw lower volume and less favorable mix due primarily to the prior-year A2L load-in and subsequent customer destocking 11.

That pressure showed up in profitability. Adjusted EBITDA in Building Performance Solutions was essentially flat at $59.8 million, as higher contributions from WAVE and ClarkDietrich and earnings from recent acquisitions were offset by lower overall volume and unfavorable product mix 14. This matters because management also said the A2L-related inventory tailwind that boosted orders through most of fiscal 2026 had begun to normalize in the fourth quarter of fiscal 2026, so this quarter looks more like a post-load-in reset than a clean demand acceleration 5.

Trade & Specialty carried the quarter, helped by tariff refunds

Trade & Specialty Solutions was the cleaner source of improvement. Sales rose 8.3% to $128.8 million on higher volume and higher average selling prices, and adjusted EBITDA jumped $7.9 million to $24.0 million 8-K.

The quality of that segment improvement is mixed. Management attributed the EBITDA increase to higher net sales and the net benefit of IEEPA tariff refunds, while channel inventory at most key retailer and distributor customers remained aligned with end-consumer demand with no material build-up 915. That inventory commentary is constructive because it suggests shipments were not being flattered by channel fill, but the tariff refund benefit means not all of the margin improvement should be treated as recurring 515.

Equity affiliates did much of the heavy lifting

Equity income increased $3.9 million to $40.6 million, driven by higher contributions from WAVE and ClarkDietrich, which were up $2.7 million and $1.5 million, respectively 13. Given operating income was only $13.0 million, the quarter again shows how important unconsolidated affiliates are to Worthington Enterprises' earnings power 10.

That is not a negative by itself, but it does shape how to read the report. Building Performance's adjusted EBITDA was flat even as affiliate income improved, which implies the owned operations in that segment were under more pressure than consolidated net income suggests 1415. The passages do not provide separate cash distributions from affiliates in the quarter, so the filing does not fully show how directly this earnings strength translated into parent-level cash from those investments 16.

Cash flow was strong and liquidity remains ample

Operating cash flow increased 62.5% to $66.7 million, driven by higher net earnings and more favorable changes in accounts receivable, inventory and accounts payable 8-K. Free cash flow rose to $54.0 million from $27.9 million after $12.8 million of capital expenditures 8-K.

The balance sheet looks flexible. Total debt was $305.6 million and consisted entirely of long-term debt, there were no borrowings under the revolving credit facility at August 31, 2026, and the company had $500.0 million available after extending the facility maturity to August 31, 2031 8-K. Worthington used some of that flexibility to repurchase 335,000 shares for $18.2 million and pay $9.4 million in dividends during the quarter 15.

Management sees uneven demand rather than a broad rebound

Management described macro conditions as marked by decelerating growth, still-elevated inflation and cautious consumer sentiment, and said demand across both operating segments is expected to remain uneven in the near term 34. In construction-facing markets, management said elevated financing costs are likely to keep near-term demand constrained even as a stronger non-residential planning pipeline and recurring purchase patterns could support volumes through fiscal 2027 7.

That outlook fits the quarter's internal split. Trade & Specialty benefited from stable channel inventories and better volume, while Building Performance faced normalization after the A2L transition pull-forward and softer cooling and construction demand 511. The report therefore reads less like the start of a broad cyclical upturn than a quarter where portfolio diversity and non-operating supports offset uneven end-market conditions 5713.

What to watch next

  • Whether Building Performance Solutions can replace the lost A2L load-in tailwind with genuine volume growth in cooling and construction rather than relying on acquisitions and affiliate income 51115.

  • How much of Trade & Specialty Solutions' margin improvement persists once the approximately $4.0 million IEEPA tariff refund benefit is no longer present 9.

  • Whether equity income from WAVE and ClarkDietrich remains strong enough to keep supporting consolidated earnings if owned operations stay soft 8-K13.

  • Whether strong operating cash flow continues as raw material prices, especially steel and aluminum, remain elevated and can increase working capital needs 8917.
