GAAP vs Non-GAAP Earnings: Palantir's Q3 2026 Reconciliation

Palantir's Q3 2026 GAAP-to-adjusted operating income gap was $342 million. We reconcile stock compensation, payroll taxes and margins with Microsoft context.

GAAP vs non-GAAP earnings are not competing versions of reality: they answer different questions. Palantir Technologies Inc. (Nasdaq: PLTR) reported $1.085 billion of GAAP operating income and $1.427 billion of adjusted operating income for Q3 2026. The $342 million difference is fully reconciled in its 2 November 2026 earnings exhibit: $318.889 million of stock-based compensation plus $23.106 million of associated employer payroll taxes.1

The narrower and more useful finding is that the gap grew in dollars but declined relative to revenue. Total Q3 revenue increased to $2.313 billion, up about 96% year over year. That makes it possible to test whether adjusted profitability is hiding deteriorating underlying economics rather than assuming either GAAP or adjusted numbers tell the entire story.1

What changed underneath the adjustment?

Palantir’s stock-based compensation rose from $172.318 million in Q3 2025 to $318.889 million in Q3 2026, an increase of about 85%. Yet revenue expanded from $1.181 billion to $2.313 billion, approximately 96%. As a share of quarterly revenue, reported SBC therefore fell from roughly 14.6% to 13.8%. That is a more informative conclusion than simply saying compensation expense rose.1

The total GAAP-to-adjusted operating-income bridge was $207.284 million in Q3 2025 and $341.995 million in Q3 2026. As a share of revenue, that difference narrowed from about 17.5 to 14.8 percentage points. GAAP operating margin improved by roughly 13.6 points while adjusted operating margin improved by roughly 10.9 points. In other words, profitability improved on both definitions, but the GAAP improvement was not weaker than the adjusted improvement.

Where the optimistic and cautious readings diverge

The optimistic interpretation is that operating scale is becoming visible in GAAP results: revenue nearly doubled while the accounting burden from equity compensation became somewhat smaller relative to sales. US commercial revenue of $984 million exceeded US government revenue of $953 million in Q3, a first for the company. That mix change suggests commercial customer adoption warrants more attention, although it cannot by itself prove that future margins will hold.1

The cautious interpretation is that $318.889 million of quarterly stock compensation remains economically significant even though it is not an immediate cash payment. Awards can dilute existing holders, and share repurchases to offset dilution would use capital. Current operating margins do not settle the question of long-run per-share value or what investors are already pricing in.

Why a non-GAAP cash flow number is not a substitute

Palantir separately reported approximately $1.205 billion of operating cash flow and $1.216 billion of adjusted free cash flow for Q3 2026. The adjusted measure follows a separate company reconciliation and should not be treated as the same definition as operating cash flow minus cash capex across other companies.1

That distinction is particularly important for software businesses with high equity compensation: the expense is added back in operating cash flow, but the potential shareholder dilution remains. A careful analysis therefore shows earnings, reported cash flow, capex, the company's adjusted measure and diluted shares separately rather than combining them into one apparently comparable figure.

Microsoft is a useful counterexample, not a same-quarter peer

Microsoft Corporation (Nasdaq: MSFT) reported GAAP net income of about $36.6 billion and non-GAAP net income of about $36.4 billion for its Q1 FY2027 ended 30 September 2026. Its adjustments related to the impact of investments in OpenAI, so the adjusted figure was slightly below GAAP. Palantir’s operating-income bridge and Microsoft’s net-income bridge are different measures and should not share a numerical comparison chart.3

What changes the conclusion next quarter?

Check whether Palantir’s GAAP operating margin continues to improve, whether stock-based compensation declines as a percentage of sales and whether revenue growth stays broad across US commercial and government customers. Recalculate the reconciliation from the next official 8-K or 10-Q and label the source and period. If the adjusted-to-GAAP gap widens as a share of revenue, a superficially strong adjusted margin would deserve closer scrutiny. Conversely, continued convergence would strengthen the operating-leverage interpretation.
